Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or your "business") and Retaela ("Retaela", "we", "us", "our") governing your access to and use of our website, dashboard, and API (together, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Retaela helps Kenyan businesses comply with Kenya Revenue Authority (KRA) electronic Tax Invoice Management System (eTIMS) and Online Sales Control Unit (OSCU) requirements, including transmitting invoices, credit notes, item registrations and related records to KRA's systems and returning the signed responses to you. Retaela is a software intermediary; we are not KRA, and we do not determine your tax liability or provide tax advice.

Retaela transmits the data you provide to KRA's systems; we do not alter, validate the substance of, or guarantee the tax correctness of your submissions.
5. Plans, billing & free tier
Retaela offers a free tier and paid subscription plans as described on our pricing page. Paid plans are billed in advance on a recurring basis in Kenyan Shillings (KES) unless stated otherwise. You can upgrade, downgrade or cancel your plan at any time through your dashboard; changes take effect according to the billing terms shown at checkout. Fees are non-refundable except where required by law.

7. Third-party services
The Service relies on and interoperates with third-party systems we do not control, most notably KRA's eTIMS/OSCU infrastructure, cloud hosting, email delivery, and (optionally) Google Sign-In. We are not responsible for outages, errors, or changes in these third-party systems, although we monitor KRA connectivity and will notify you of significant disruptions where reasonably possible.
8. Availability & support
We aim to keep the Service available and reliable, and we publish live status information at status page. However, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Retaela and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim.
10. Termination
You may stop using the Service and close your account at any time from your dashboard settings. We may suspend or terminate your access if you breach these Terms, misuse the Service, fail to pay fees when due, or if required by law or by KRA. Upon termination, your right to use the Service ceases, though certain obligations (e.g. payment, data retention for legal compliance, limitation of liability) survive.
11. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date, and where changes are material we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Kenya.
